Welcome to The Network of Commons ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please discontinue use of the Services immediately.

1. Agreement to Legal Terms

By using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and any supplemental terms and policies referenced herein. We may update these Terms at any time. Changes will be effective upon posting, and your continued use of the Services constitutes acceptance of those changes.

2. Our Services

The Services are operated by Omar Hassan, doing business as The Network of Commons ("NOC", "The NOC"), registered in India at Avalahalli, Old Madras Road, Bengaluru, Karnataka 560049, India. The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

The Services are not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, GLBA). If your interactions would be subject to such laws, you may not use the Services.

3. Intellectual Property Rights

We own or license all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics ("Content"), as well as trademarks, service marks, and logos ("Marks"). You may access and use the Services and download or print a copy of any portion of the Content for your personal, non-commercial use only.

Except as expressly permitted, no part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

4. User Representations

By using the Services, you represent and warrant that:

• All registration information you submit is true, accurate, current, and complete.
• You will maintain the accuracy of such information and update as necessary.
• You have the legal capacity and agree to comply with these Terms.
• You are not a minor in your jurisdiction.
• You will not access the Services through automated or non-human means.
• You will not use the Services for any illegal or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation.

5. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate, obscene, or otherwise objectionable.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

• Systematically retrieving data or content to create a collection, compilation, database, or directory without written permission.
• Tricking, defrauding, or misleading us or other users.
• Circumventing, disabling, or interfering with security-related features.
• Disparaging, tarnishing, or harming us or the Services.
• Using information from the Services to harass, abuse, or harm another person.
• Making improper use of support services or submitting false reports.
• Using the Services in violation of any laws or regulations.
• Uploading or transmitting viruses or other malicious material.
• Engaging in automated use of the system (e.g., bots, scripts).
• Deleting copyright or proprietary rights notices from any Content.
• Impersonating another user or person.
• Uploading or transmitting spyware or passive collection mechanisms.
• Interfering with or creating an undue burden on the Services.
• Harassing, annoying, intimidating, or threatening our employees or agents.
• Attempting to bypass measures designed to restrict access to the Services.
• Copying or adapting the Services' software.
• Reverse engineering any software of the Services.
• Using automated systems to access the Services (except standard search engines or browsers).
• Using a buying or purchasing agent to make purchases on the Services.
• Making unauthorized use of the Services, including collecting user information for unsolicited emails.
• Using the Services to compete with us or for any revenue-generating endeavor.
• Selling or transferring your profile.
• Advertising or offering to sell goods and services via the Services.
• Providing false personal information (e.g., name, age, gender).
• Causing discomfort to users in any way.
• Catfishing or impersonation.

7. User Generated Contributions

The Services may invite you to contribute content (e.g., text, images, video, comments). By submitting content, you represent and warrant that you own or have the necessary rights to your contributions, and that they do not violate any law or the rights of any third party.

• Your contributions do not infringe any proprietary rights of any third party.
• Your contributions are not false, misleading, or otherwise objectionable.
• Your contributions do not violate any law or regulation.
• Your contributions do not contain offensive, obscene, or harassing material.

8. Contribution License

By posting your contributions, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable license to use, reproduce, modify, publish, translate, distribute, publicly display, and perform your contributions in any media. You retain ownership of your contributions, but grant us the rights described above.

9. Mobile Application License

If you access the Services via our mobile app, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the app on your device in accordance with these Terms. You may not reverse engineer, modify, or use the app for any commercial purpose not intended by us.

10. Advertisers

We may allow advertisers to display ads on the Services. We simply provide the space for such advertisements and have no other relationship with advertisers.

11. Services Management

We reserve the right to monitor the Services for violations of these Terms, take legal action against violators, and manage the Services to protect our rights and property.

12. Privacy Policy

We care about your privacy. Please review our Privacy Policy. By using the Services, you agree to our Privacy Policy.

13. Copyright Infringements

If you believe any material on the Services infringes your copyright, please contact us using the information below. You may be held liable for damages if you make material misrepresentations in your notification.

14. Term and Termination

These Terms remain in effect while you use the Services. We may terminate or suspend your access at any time, for any reason, without notice. If your account is terminated, you are prohibited from registering a new account.

15. Modifications and Interruptions

We reserve the right to change, modify, or remove the Services at any time, without notice. We are not liable for any modification, suspension, or discontinuance of the Services.

16. Governing Law

These Terms are governed by the laws of India. You consent to the exclusive jurisdiction of the courts in India for any disputes arising out of these Terms.

17. Dispute Resolution

Any dispute arising out of these Terms shall be resolved by arbitration in Bengaluru, India, in English, under the rules of the International Commercial Arbitration Court. The number of arbitrators shall be three (3).

18. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time, without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE SERVICES OR ANY CONTENT LINKED TO THE SERVICES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

20. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $100.00 USD.

Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages, so these limitations may not apply to you.

21. Indemnification

You agree to indemnify and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your contributions, use of the Services, breach of these Terms, or violation of any law or the rights of a third party.

22. User Data

We may maintain certain data you transmit to the Services for managing performance. Although we perform routine backups, you are solely responsible for all data you transmit. We are not liable for any loss or corruption of such data.

23. Electronic Communications

By using the Services, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

24. California Users

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is found unlawful or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship exists as a result of these Terms or your use of the Services.

26. End User Licence Agreement (EULA)

The Network of Commons is licensed to you (End-User) by Omar Hassan, located at Avalahalli, Old Madras Road, Bengaluru, Karnataka 560049, India ("Licensor"), for use only under the terms of this Licence Agreement.

By downloading the Licensed Application from Apple's App Store or Google's Play Store, and any update thereto, you agree to be bound by all of the terms and conditions of this Licence Agreement. App Store and Play Store are referred to as "Services".

The parties acknowledge that the Services are not a party to this Licence Agreement and are not bound by any provisions or obligations with regard to the Licensed Application. Omar Hassan, not the Services, is solely responsible for the Licensed Application and its content.

This Licence Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service ("Usage Rules"). Omar Hassan acknowledges that this Licence Agreement is not conflicting with them.

1. The Application

The Network of Commons ("Licensed Application") is a piece of software created to help users meet and connect with new people online, customised for iOS and Android mobile devices ("Devices"). It is used to find new connections or people who might share a common interest with the user.

The Licensed Application is not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, etc.), so if your interactions would be subject to such laws, you may not use this Licensed Application.

2. Scope of Licence

You are given a non-transferable, non-exclusive, non-sublicensable licence to install and use the Licensed Application on any Devices that you own or control and as permitted by the Usage Rules.

3. Technical Requirements

The Licensed Application requires a device with iOS or Android and an active internet connection. Updates may be required for continued use.

4. Maintenance and Support

Omar Hassan is solely responsible for providing maintenance and support for the Licensed Application. The Services have no obligation to provide any maintenance or support.

5. Use of Data

You acknowledge that Omar Hassan may collect and use technical data and related information to facilitate software updates, product support, and other services related to the Licensed Application.

6. User-Generated Contributions

The Licensed Application may invite you to contribute content. By submitting content, you represent and warrant that you own or have the necessary rights to your contributions, and that they do not violate any law or the rights of any third party.

7. Contribution Licence

By posting your contributions, you grant Omar Hassan a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable licence to use, reproduce, modify, publish, translate, distribute, publicly display, and perform your contributions in any media.

8. Liability

To the maximum extent permitted by law, Omar Hassan is not liable for any damages arising from your use of the Licensed Application.

9. Warranty

The Licensed Application is provided "as is" and "as available", without warranty of any kind.

10. Product Claims

Omar Hassan is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application.

11. Legal Compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country and are not listed on any U.S. Government list of prohibited or restricted parties.

13. Termination

This Licence Agreement is effective until terminated by you or Omar Hassan. Your rights under this Licence Agreement will terminate automatically if you fail to comply with any of its terms.

14. Third-Party Terms and Beneficiary

The Services and their subsidiaries are third-party beneficiaries of this Licence Agreement and may enforce this Agreement against you.

15. Intellectual Property Rights

All intellectual property rights in the Licensed Application remain with Omar Hassan.

16. Applicable Law

This Licence Agreement is governed by the laws of India.

17. Miscellaneous

If any provision of this Licence Agreement is held to be unenforceable, the remaining provisions will remain in effect.
